Terms of Service

This User Agreement (the "Agreement") is entered into by and between Naritive Pty Ltd ("Naritive") and the individual user of the Naritive Platform ("User").

By accessing and using the Naritive Platform, the User agrees to be bound by the terms and conditions of this Agreement.

1. PLATFORM LICENSE

1.1. Grant of License:

Subject to the terms and conditions of this Agreement, Naritive grants the User a limited, non-exclusive, non-transferable, and revocable license to access and use the Naritive Platform for the sole purpose of designing and creating ad units for Ad Stories and Ad Social, and any other future solutions made available by Naritive.

1.2. Ownership and Intellectual Property:

All right, title, and interest in and to the Naritive Platform, including all underlying source code, object code, algorithms, software architecture, user interface designs, and any other proprietary technology, remain the exclusive intellectual property of Naritive. The User acknowledges that this Agreement grants a limited license to use the platform and not an assignment or transfer of any ownership rights.

2. INTELLECTUAL PROPERTY & CONTENT

2.1. User Content:

The User shall retain full ownership of all creative content, collateral, data, and materials that the User uploads to the Naritive Platform.

2.2. Naritive IP:

Notwithstanding the User's ownership of their uploaded content, all outputs of the platform's proprietary technology, including the final creative tag, its underlying code, and any data or insights generated by the platform's processes, are the exclusive intellectual property of Naritive.

2.3. Prohibited Use:

The User is expressly prohibited from:

2.3.1 Copying, reproducing, or reverse-engineering any part of the Naritive Platform's underlying code, algorithms, or technology.

2.3.2 Using any information or knowledge gained from their access to the Naritive Platform to develop or assist a third party in developing a competing platform or service.

2.4. Content Compliance:

The User warrants that any and all content, collateral, and data uploaded to the Naritive Platform complies with the Protection of Personal Information Act, 4 of 2013 ("POPIA") and all other applicable laws and regulations. The User shall be solely responsible for obtaining any necessary consents or permissions required for the use of such content.

3. PLATFORM INTEGRITY AND USER RESPONSIBILITIES

3.1. Prohibited Actions:

The User shall not use the Naritive Platform to upload or introduce any unauthorized or malicious code, viruses, malware, or other contaminants that may damage or interfere with the platform's integrity or functionality.

3.2. Account Activity:

The User is responsible for all activities conducted under their user account on the Naritive Platform. The User agrees to use the platform in a professional manner and in accordance with its intended purpose.

4. DISCLAIMER AND LIMITATION OF LIABILITY

4.1. "As Is" Basis:

The Naritive Platform is provided on an "as is" and "as available" basis without any warranties of any kind, whether express, implied, or statutory. Naritive does not guarantee that the platform will be free from errors, bugs, or interruptions.

4.2. Limitation of Liability:

In no event shall Naritive be liable for any direct, indirect, special, incidental, or consequential damages, including but not limited to lost profits, arising out of the User's use or inability to use the Naritive Platform.

5. GENERAL

5.1. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of South Africa.

5.2. Entire Agreement:

This Agreement constitutes the entire understanding between Naritive and the User with respect to the subject matter hereof and supersedes all prior agreements.

5.3. Termination:

Naritive reserves the right to terminate this Agreement and revoke the User's access to the Naritive Platform at any time, with or without cause, upon written notice.
